Terms and Conditions for Villam Developments Limited

Acceptance of Quotations, Estimations or any other services (paid or unpaid) from Villam Developments Limited (either verbally or in writing) are deemed to be acceptance to these Terms & Conditions.

1. Definitions

  • “Contract” – all building works provided by the Company to the Client and form the basis of the Contract (“Contract”) between the Company and the two parties (whether verbal or written).
  • “Company” refers to Villam Developments Limited, its employees, subcompanies and agents.
  • “Client” refers to the individual or entity that has entered into a Contract with the Company.
  • “Works” refers to the construction, renovation, repair, or other building works to be carried out by the Company as described in the Contract or agreed quotation/estimate.
  • “Quotation” means the quotation the Company will give to the Client detailing the services the Company will provide to the Client and the fees the Company will charge; 
  • “Estimation” means the estimation the Company give to the Client detailing the services the Company will provide and the fees the Company will charge, which may be subject to change, dependent upon scope, cost changes, Force Majeure or any other changes.
  • “Written” – each reference in these Terms and Conditions to “writing”, and any similar expression, includes electronic communications whether sent by e-mail, text message, fax, or other means

2. General

These terms and conditions apply to all building works provided by the Company to the Client and form the basis of the Contract (“Contract”) between the Company and the two parties (whether verbal or written).

3. Quotation

  • The Company shall provide the Client with a written Quotation/Estimation which, unless otherwise stated, shall remain valid for 30 days.
  • The quotation is based on the current cost of materials and labour and may be subject to change.

4. Scope of Works

  • The Works to be carried out shall be as described in the Quotation/Estimate and any subsequent written variations agreed upon by both parties.

5. Fees and payment

  • The price for the Works shall be set out in the Quotation/Estimation.
  • The Company will invoice at agreed stages during the Works, with the final invoice being due upon completion.
  • Monthly updates on fees are sent to the Client
  • Invoices will be sent out prior to the relevant payment date and each invoice will serve as a receipt for payment.
  • Part payments, interim payments and deposits will be agreed prior to commencement of works or during the Contract duration.
  • Late payment may result in the cessation of work and/or interest charged on the outstanding amount at the statutory rate.

6. Variations

  • Any variations to the Works must be agreed upon in writing and may result in adjustments to the Contract price and completion date.

7. Completion Date

  • The Company will provide an estimated completion date for the Works and will endeavour to meet this estimate. However, this date is not guaranteed and may be subject to change.

8. Quality and Standards

  • All Works will be carried out in accordance with relevant building regulations and standards.

9. Liability

  • The Company’s liability for loss or damage shall be limited to the Contract value and shall not include indirect or consequential losses.

10. Insurance

  • The Company shall maintain public liability insurance and any other insurance required by law.

11. Dispute Resolution

  • In the event of a dispute, parties will seek resolution through negotiation and, if necessary, mediation before resorting to litigation.

12. Force Majeure

  • Neither party shall be liable for any delay or failure to perform due to circumstances beyond their reasonable control.

13. Termination

  • Either party may terminate the Contract if the other party materially breaches the terms and conditions, subject to a written notice.

14. Governing Law

  • This Contract shall be governed by the laws of England and Wales.

15. Acceptance

  • Acceptance of the Quotation/Estimation, verbally or in writing, signifies acceptance of these terms and conditions.
